1. The service

ColdMatch Group ("ColdMatch", "we", "us") provides an online sourcing and matching service that allows buyers to submit cold-chain project requests and receive non-binding quotations from independent third-party Suppliers. ColdMatch does not manufacture, stock, distribute, install, service, finance or insure any cold storage, refrigeration or cold-chain equipment or project.

2. Role of ColdMatch — intermediary only

ColdMatch acts solely as a neutral sourcing intermediary. Any equipment, installation, civil works, training, spare parts, logistics, financing, insurance or related service is provided exclusively by the Supplier or other third party you choose. The legal contract for supply and any related services is concluded directly between you and the Supplier. ColdMatch is not a party to that contract and assumes no obligation arising under it.

3. Supplier responsibility

Each Supplier is solely and exclusively responsible for: equipment quality, conformity and certification; valid manufacturing, export, import, customs and regulatory approvals; installation, commissioning and after-sales service; warranty and spare-parts obligations; refrigerant handling, F-gas compliance and environmental compliance; scheduling, delays, cancellations and refunds; logistics, shipping, insurance and incoterms; and compliance with all applicable cold-chain, trade, sanctions, tax and consumer law in every relevant jurisdiction.

4. No guarantees

Quotes, prices, lead times, equipment specifications, photos, ratings, certifications, warranty terms and any other supplier-supplied information are provided by Suppliers and are indicative only until an order is confirmed in writing by the chosen Supplier. ColdMatch does not verify, endorse, guarantee or warrant any supplier-supplied information and makes no representation as to availability, price, fitness, safety, lead time or quality. Nothing on the platform constitutes a binding offer by ColdMatch.

5. No liability — full disclaimer

To the maximum extent permitted by applicable law, ColdMatch, its affiliates, directors, employees and agents shall have no liability whatsoever, whether in contract, tort (including negligence), statute or otherwise, for any loss, damage, injury, death, delay, cancellation, product spoilage, refrigerant release, property damage, financial loss, lost profit, lost opportunity, emotional distress, or any direct, indirect, incidental, special, consequential, exemplary or punitive damages arising out of or in connection with: (a) any equipment, installation or service provided by a Supplier or other third party; (b) any act, omission, default, insolvency, fraud, misrepresentation or breach by any Supplier, payment provider, financing partner or other third party; (c) any supplier-supplied information appearing on the platform; (d) any decision you make based on indicative pricing, availability or matching results; (e) any unavailability, error, interruption, security incident or content of the platform; (f) any force majeure event, regulatory action, permit denial, customs delay, strike or technical failure.

6. Limitation of liability

Without limiting Section 5, and to the maximum extent permitted by law, the aggregate liability of ColdMatch arising out of or related to the platform, regardless of the cause of action, shall not exceed one hundred euros (€100).

7. Indemnity

You agree to defend, indemnify and hold harmless ColdMatch and its affiliates from and against any claim, demand, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or related to: (a) your use of the platform; (b) any equipment or service supplied to you by a Supplier or other third party; (c) your breach of these Terms or of any law; (d) any dispute between you and a Supplier, financing partner or other user.

8. Eligibility & accurate information

You must be 18+ and provide accurate, lawful information. You are responsible for import licences, customs, duties, VAT, sanctions screening, refrigerant regulations and any other obligations applicable to receiving and operating cold-chain equipment in your jurisdiction.

9. Acceptable use

You may not misuse the platform, attempt to access non-public areas, scrape data, submit fraudulent or unlawful requests, impersonate any person, or interfere with operation.

10. Supplier listings & rankings

Supplier listings are based on information supplied by Suppliers. Featured, sponsored or priority placement may reflect commercial relationships. Listing does not constitute endorsement, verification or recommendation by ColdMatch.

11. Disclaimers

The platform is provided "as is" and "as available". To the maximum extent permitted by law, ColdMatch disclaims all warranties, express, implied or statutory.

12. Intellectual property

The platform, its content, code, design and trademarks are owned by ColdMatch or its licensors and protected by applicable law.

13. Governing law & disputes

ColdMatch Group is operated from the Republic of Cyprus. These Terms are governed by the laws of the Republic of Cyprus, except where mandatory local law of the user's country of residence applies. Any dispute against ColdMatch must be brought individually; class actions are waived to the extent permitted by law. Disputes regarding any equipment or service must be brought against the Supplier that performed or was contracted to perform it. See our Legal Notice for full operator and jurisdiction details.

14. Changes

We may update these Terms at any time. Continued use after changes constitutes acceptance.

15. Severability

If any provision is held unenforceable, the remaining provisions remain in full force.

16. Financing Services Disclaimer

ColdMatch Group is not a lender, bank, financial institution, credit provider, investment advisor or regulated financial services provider in any jurisdiction. The platform operates solely as a technology, sourcing and business introduction platform.

• The platform does not provide loans, credit, leasing, factoring, trade finance, financial advice, investment advice or any regulated financial service.
• The platform does not negotiate, underwrite, approve, price or guarantee any financing, and does not act as a credit intermediary or broker of record.
• Financing requests submitted through the platform may, subject to the user's explicit consent, be shared with independent third-party financing providers for evaluation purposes only.
• Any financing decision, eligibility assessment, underwriting, due diligence, pricing, terms, security requirements and contractual arrangements are determined solely by the independent third-party financing provider.
• Any financing agreement, if entered into, exists exclusively between the user and the independent third-party financing provider. ColdMatch Group is not a party to any such agreement.
• Users are solely responsible for conducting their own legal, tax, financial, regulatory and commercial due diligence, including assessment of the financing provider.
• ColdMatch Group assumes no liability for financing decisions, lender actions or inaction, defaults, project failures, foreign exchange movements, regulatory changes, sanctions, insolvency or disputes between the user and any financing provider.
• Nothing on the platform constitutes an offer, solicitation or recommendation to enter into any financing, credit, investment or insurance transaction.

17. What ColdMatch Group is not

For the avoidance of doubt, ColdMatch Group is not: the manufacturer; the equipment supplier or distributor; the installer or commissioning engineer; the refrigeration or engineering consultant; the EPC contractor; the logistics provider, freight forwarder or customs broker; the insurer or insurance intermediary; the lender, bank, credit provider or regulated financial services provider. ColdMatch Group is not responsible for equipment performance, installation quality, food-safety compliance, refrigeration calculations, energy-savings projections or warranties provided by suppliers.

18. Force majeure

ColdMatch Group shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, pandemics, war, terrorism, cyber-attacks, strikes, sanctions, embargoes, regulatory action, infrastructure or utility failure, or third-party service outages.

19. Reservation of rights, suspension & fraud prevention

ColdMatch Group may review any account, RFQ or listing and may request documentation where appropriate. We reserve the right, at our sole discretion and to the maximum extent permitted by applicable law, to reject, throttle, restrict, suspend or permanently terminate any RFQ, listing, session or account we reasonably suspect involves fraud, fake companies, identity theft, false technical information, counterfeit equipment, sanctions or export violations, money laundering, terrorist financing, corruption, IP infringement or marketplace abuse. 20. Third-party & AI-generated content

Certain platform content is generated with the assistance of artificial intelligence or aggregated from third-party sources and is provided for informational purposes only. Please refer to the AI & Third-Party Content Disclaimer.

21. Exclusive jurisdiction

Subject to any non-derogable rights available to users under mandatory local law, the parties submit to the exclusive jurisdiction of the competent courts of the Republic of Cyprus for any dispute arising out of or in connection with the platform or these Terms.
