Agency Policy
Version 1.0 · Last updated: 4 October 2026
1. Purpose of this policy
This Agency Policy explains the legal nature of the relationship between ColdMatch Group ("ColdMatch", "we", "us"), buyers who submit project requests, and the independent cold storage, refrigeration and cold-chain manufacturers, EPC contractors and turnkey providers ("Suppliers") introduced through the platform. It exists to prevent any misunderstanding: nothing on this platform, and nothing done by our team, creates an agency, brokerage or representation relationship.
2. Neutral intermediary — not an agent
ColdMatch reviews buyer requirements, prepares a structured project brief, and introduces suitable independent Suppliers. In doing so, ColdMatch acts solely as a neutral intermediary for the purpose of introduction. ColdMatch does not act as agent for the buyer, does not act as agent for any Supplier, and does not act as a dual agent. No fiduciary duty is owed to or by any party.
3. No authority to bind
No employee, representative or system of ColdMatch has authority to: accept or reject an offer on behalf of any party; agree prices, discounts, delivery dates, warranties or payment terms; sign or conclude any supply, installation, financing or service contract; or make any representation that binds a buyer or Supplier. Any apparent statement to the contrary is of no effect unless confirmed in a written contract signed directly by the buyer and the Supplier.
4. Contracts are direct
Every quotation, order, supply agreement, installation contract, warranty and after-sales arrangement is concluded directly between the buyer and the chosen Supplier. ColdMatch is not a party to those contracts, receives no rights or obligations under them, and bears no responsibility for their negotiation, performance, breach or enforcement.
5. Compensation and independence
ColdMatch's service is free for qualified buyers. ColdMatch may receive referral or success-based compensation from Suppliers. Such compensation never decides which Suppliers are shortlisted for a project: shortlists are based only on fit with the buyer's stated requirements. Directory advertising (featured or sponsored listings) is separate from project shortlists and is always identified as advertising.
6. No reliance on introductions
An introduction is not a recommendation, endorsement, verification or guarantee of any Supplier, equipment, price or outcome. Buyers must carry out their own due diligence — technical, financial, legal, regulatory and compliance — before contracting with any Supplier. Suppliers must carry out their own checks on buyers.
7. No exclusivity
Unless agreed in a separate written instrument, neither buyers nor Suppliers are exclusive to ColdMatch, and ColdMatch may introduce multiple Suppliers for the same project and work with competing buyers and Suppliers.
8. Relationship with other policies
This Agency Policy supplements and does not replace the Terms of Service, the Privacy Policy, the RFQ Terms, the Buyer Terms and the Supplier Terms. In case of conflict, the Terms of Service prevail.
