Supplier Terms

These Supplier Terms apply to any manufacturer, EPC contractor, distributor, systems integrator, refrigeration consultant, logistics or insurance provider (a Supplier) that is listed, introduced or otherwise engages with buyers through ColdMatch Group.

1. Independent contractor status

Suppliers are independent third parties. Nothing on the platform creates a partnership, joint venture, agency, franchise, employment or exclusive distribution relationship between ColdMatch Group and any Supplier.

2. Supplier representations

The Supplier represents and warrants that it: (a) is duly organised and lawfully operating; (b) holds all licences, certifications, F-gas approvals and export authorisations required for the equipment and services it offers; (c) has full authority to enter into contracts with buyers introduced through the platform; (d) will honour all published prices, lead times, specifications and warranty terms; and (e) will comply with all applicable laws, including sanctions, export controls, anti-bribery, AML/CTF, food-safety and product-safety regulations.

3. Accuracy of listings and quotations

Suppliers are solely responsible for the accuracy, completeness and legality of any information, images, drawings, datasheets, certifications, prices, availability, lead times or warranty terms they submit to the platform or communicate to buyers.

4. Performance and after-sales

Each Supplier is solely responsible for equipment quality, manufacturing conformity, installation, commissioning, spare parts, warranty enforcement, refrigerant handling, environmental compliance, logistics, insurance and safety of delivered goods and services.

5. Prohibited conduct

  • Misrepresenting identity, capacity, certifications or origin of equipment.
  • Offering counterfeit, grey-market or non-compliant equipment.
  • Circumventing the platform to bypass introductions or referral arrangements.
  • Using buyer information for unrelated marketing or resale.
  • Engaging in price fixing, market allocation or other anti-competitive practices.
  • Any conduct violating sanctions, export controls or anti-bribery laws.

6. Verification and review

ColdMatch Group may review any Supplier profile and may request documentation (company registration, certifications, references, insurance, beneficial ownership) at any time. We reserve the right, where appropriate and to the maximum extent permitted by law, to suspend or remove listings, refuse introductions and terminate accounts of Suppliers that fail verification or violate these terms, the Acceptable Use Policy or the Compliance Policy.

7. Indemnity

The Supplier will defend, indemnify and hold harmless ColdMatch Group, its affiliates and personnel from and against any claim, loss, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or related to: (a) the Supplier's products or services; (b) any breach of these terms or of applicable law by the Supplier; (c) any dispute between the Supplier and a buyer, financing partner or third party.

8. Confidentiality

Suppliers must treat buyer RFQ information as confidential and use it exclusively to prepare a quotation or fulfil the resulting contract.
